Article I - Name

White Mountain Amateur Radio Club (WMARC)

Location: Carroll County, Mt. Washington Valley, N.H.

Club Call Sign: W1MWV

Article II - Purpose

1. To promote interest in amateur radio.

2. To promote camaraderie among members and visitors.

3. To establish amateur radio networks to provide communications in the event of disasters or other emergencies.

4. To promote amateur radio communications throughout the world.

5. To foster amateur radio education.

Article III - Membership

1. Membership shall be open to all persons having an interest in amateur radio.

2. Membership shall run annually from the May meeting.

3. A Voting Member is a club member with currently paid up dues status that is a licensed amateur radio operator.

4. Types of membership shall be one of the following: Individual, Family, Student, Associate, and Honorary.

a) An Individual Member may be any person having an interest in amateur radio.

b) A Family Membership includes the adults and minor children in a single family unit.

c) A Student Member is a person that is attending school full time.

d) An Associate Member is a person who supports the WMARC. An associate member shall enjoy all club privileges except the right to vote, hold office, or to use club property.

e) An Honorary Member is an individual recognized as having made significant contributions to meeting the objectives of the club.

(1) Honorary membership shall be proposed, and seconded at a regular monthly meeting.

(2) The proposal shall be voted on at the following meeting.

(3) Dues for Honorary Members shall be waived.

5. Military Personnel on active duty shall have their dues waived and membership extended for the duration of their active duty status.

6. A membership form for new members or to change data on a current membership may be obtained from an officer or downloaded from the club web site.

7. The form, along with the appropriate dues, may be submitted to the President or Treasurer.

8. Following the submittal of their application new members shall be voted on by the current voting members at the next meeting.

9. A list of members including license class, status, call sign, and club position shall be maintained by the Treasurer or other designated member. A copy of this list may be made available on the club’s web site.

10. Termination of membership:

a) Upon a written request notice for self-termination from a member.

b) Upon a member being found to have engaged in conduct materially and seriously prejudicial to the interest or purposes of this club, or conduct not legal or allowed by the FCC. After providing the member with written notice and an opportunity to be heard, either orally or in writing by a duly appointed committee of at least three (3) voting members, a member may be terminated. The committee’s recommendation shall be voted upon at the next regular meeting. A 2/3 vote is required for termination. Termination of membership is effective immediately.

11. Membership Privileges:

a) The right to hold office. (Voting member status required.)

b) The right to vote. (Voting member status required.)

c) The right to participate in club events.

d) The right to serve on committees.

e) The right to use club equipment.

Article IV - Dues

1. The schedule of dues will be recommended by the officers and approved by the membership. They may be reviewed annually.

2. Dues are due and payable at the May meeting for the following year.

3. Membership shall run annually from the May meeting.

4. Upon failure to pay dues within thirty (30) days of due date, member shall lose voting privileges.

Article V - Officers

1. The officers of this club shall be: President, Vice President, Alternate Vice President, Secretary, and Treasurer.

2. Elections - The officers of this club shall be elected, at the annual meeting:

a) For a term of one year from July 1 to June 30 of the following year.

b) Shall be by ballot of the members present, provided there is a quorum including either the President or Vice President.

c) The Secretary shall be allowed to cast one vote for a slate of officers if said offices are uncontested.

d) Vacancies occurring between elections must be filled by special election at the first regular meeting following the withdrawal or resignation of any officer. Members will be notified by the club net and the club Web site that there will be a special election at the next scheduled meeting.

3. Duties of Officers

a) The President shall preside at all meetings and conduct them according to the rules adopted and shall enforce due observance of these By-Laws, decide all questions of order, sign all official documents adopted by the club and perform all other duties pertaining to the office.

b) The Vice President shall assume all the duties of the President in his/her absence. In addition, the Vice President shall assist the President in organizing club activities, planning and recommending events to advance club interests.

c) The Alternate Vice President shall act for the Vice president in the event of his/her absence and shall assist the Vice President as needed.

d) The Secretary shall keep a record of the proceedings of all meetings and carry on all correspondence for the club.

e) The Treasurer shall receive all monies paid to the club, keep an accurate account of all monies received and expended and pay all appropriate bills submitted to the club. At each meeting the Treasurer shall submit a written account of monies received and disbursed. The Treasurer shall keep a roll of active members.

Article VI - Committees

The officers shall establish the following committees to meet the objectives of the club. Additional committees may be established as deemed necessary.

1. Nomination and Election Committee shall consist of at least 3 voting members. Duties shall be to select candidates for election as officers and to organize and execute all election activities. This committee shall meet in March and present the proposed slate of officers to the membership at the May meeting for the election at the June meeting.

2. Technical Committee shall inventory, oversee, manage and administrate all club repeater and radio equipment assets and property. In addition, shall assist members and interested parties with technical applications, troubleshooting and repairs and further the technical interests of amateur radio for the club. Said inventory shall include the item’s description, value and location and be available to members on paper or on the web site.

3. Events Committee shall provide liaison with promoters of public events as well as plan and execute club events. The committee shall keep records of participation in all events.

4. Training Committee shall plan, coordinate and execute educational programs to advance the art of amateur radio among club members and other interested parties.

Article VII - Special Appointments

The following shall be established to serve the needs of the organization. The appointees shall be voting members of the club and shall serve such term and perform such duties as the President determines.

1. Public Information Officer shall publicize amateur radio and the activities of WMARC to advance the general interest in and welfare of amateur radio in the community.

2. ARES Liaison shall maintain communication and cooperation with the ARES structure and other ARES personnel to further club participation and training in the amateur radio Emergency Service.

3. VE Liaison shall organize, plan and execute VE training and testing activities.

4. Net Manager is responsible for the club’s weekly nets including Net Control staffing assignments

5. Webmaster is responsible for operation, posting, and maintenance of the club’s web site.

Article VIII - Meetings

1. Regular meetings shall be held on the second Thursday of each month. Meeting time is 6:00 pm with the business meeting beginning at 6:30 pm.

2. Presence of 12 voting members, to include the President or Vice President, shall constitute a quorum.

3. All votes of approval shall be by simple majority unless otherwise required

4. The Annual Meeting shall be on the second Thursday of June at which time elections shall take place. In addition to the slate of officers presented by the Nominating Committee, nominations may be proposed from the floor and seconded by voting members.

5. Voting shall be done by a show of hands of voting members. Any voting member may request a secret ballot provided the motion is seconded.

6. Roberts Rules of Order shall govern all proceedings.

Article IX - Funds

1. No part of the net earnings of the club shall inure to the benefit of, or be distributable to its members, officers or other private persons, except that the club shall be authorized and empowered to pay reasonable compensation for goods and services rendered and to make payments in furtherance of the purposes set forth above. Notwithstanding any other provisions of these by-laws, the club shall not carry on any activities not permitted by an organization exempt from federal income tax under section 501(c)(3) of the Internal Revenue Code.

2. The treasurer may issue checks up to $200.00. Amounts in excess of that amount will require approval of the voting members at a regular meeting.

3. The accounts of WMARC shall be audited prior to the annual meeting

4. If the club is dissolved, any remaining funds and assets after expenses have been paid, shall be disbursed according to the wishes of the membership and as allowed by section 501(c)(3).

Article X - Amendments to By-Laws

These By-Laws may be amended at the annual meeting. Proposed revisions shall be provided to all members at least two weeks before the annual meeting. Approval shall require an affirmative 2/3 vote.

Article XI - Effective Date

These By-Laws were accepted by the membership of The White Mountain amateur radio Club on __________________and became effective on that date.
